1. About these Terms
These Terms apply to visitors of https://usitdepo.com and to customers who purchase hardware, networking equipment, deployment services, or managed IT support from USIT Depo. Separate written quotes, statements of work, or master service agreements may add or modify commercial terms for specific orders.
2. Eligibility
You must be at least 18 years old and able to form a binding contract. If you use the site on behalf of a company, you represent that you have authority to bind that company.
3. Website use
- Use the site only for lawful purposes
- Do not attempt to disrupt, scrape excessively, or gain unauthorised access to systems
- Do not upload malicious code or misuse forms
- Content on the site is for general information; quotes are confirmed in writing
4. Quotes, orders, and pricing
Website content is not a binding offer. Prices, configurations, and lead times in quotes are valid for the period stated (or 14 days if unspecified). Orders are accepted when we confirm in writing. Manufacturer changes, currency shifts, or supply shortages may require requoting before acceptance.
5. Payment
Payment terms appear on invoices or quotes. Late amounts may incur reasonable collection costs permitted by law. Title to hardware typically passes on full payment unless otherwise agreed; risk of loss transfers on delivery to the carrier unless we agree otherwise in writing.
6. Shipping and delivery
Delivery dates are estimates. We are not liable for carrier delays outside our reasonable control. Inspect shipments promptly and report damage or shortages within five business days of delivery.
7. Returns and warranties
Hardware returns follow the return window and condition requirements stated on your order confirmation. Manufacturer warranties apply to covered products; we will reasonably assist with warranty claims. Custom-configured, opened software, or special-order items may be non-returnable.
8. Managed services
If you subscribe to managed IT support, service levels, covered devices, and exclusions are defined in your service schedule. You remain responsible for maintaining licences, backups you control, and timely access for remediation.
9. Intellectual property
Site design, logos, text, and graphics are owned by USIT Depo or its licensors. You may not copy or reuse them without prior written permission, except for fair use or as allowed by law.
10. Disclaimer of warranties
The website is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement regarding the website. Product warranties are those provided by manufacturers or stated in your order documents.
11. Limitation of liability
To the fullest extent permitted by law, USIT Depo is not liable for indirect, incidental, special, consequential, or punitive damages, or lost profits, arising from site use or services. Our aggregate liability for any claim related to the website is limited to USD $100. For paid products or services, liability is limited to the amounts you paid us for the specific order giving rise to the claim in the 12 months before the claim, unless a signed agreement states otherwise.
12. Indemnity
You agree to indemnify and hold harmless USIT Depo and its team from claims arising from your misuse of the site, violation of these Terms, or infringement of third-party rights — except to the extent caused by our wilful misconduct.
13. Privacy and cookies
Personal information is handled as described in our Privacy Policy and Cookie Policy.
14. Suspension
We may suspend or terminate access to the website or services for conduct that violates these Terms or harms our systems or other users.
15. Governing law
These Terms are governed by the laws of the State of Texas, USA, without regard to conflict-of-law rules. Courts located in Travis County, Texas shall have exclusive jurisdiction, except where applicable consumer law requires otherwise.
16. Changes
We may update these Terms periodically. The updated date will be revised at the top of this page. Continued use after changes constitutes acceptance of the revised Terms for website use. Material changes to active service contracts will be communicated as required by those agreements.
